Damit Aufsichtsräte ihre gesetzlichen Überwachungsaufgaben in global agierenden Unternehmen erfüllen können, müssen sie sich intensiver mit der Unternehmenstätigkeit und -berichterstattung beschäftigen. Hierfür bedarf es gegenüber dem Status quo einer weiteren Professionalisierung ihrer Arbeit. Auch benötigten sie einen kompetenten, international agierenden und unabhängigen Abschlussprüfer als (externen) Kümmerer.
Beide Governance-Institutionen können ihre Aufgaben nur erfüllen, wenn sie unabhängig vom Unternehmensvorstand arbeiten können.
