Abstract

EU sustainability legislation relies on contractual relationships to implement public regulatory objectives throughout global agri-food supply chains. Instruments such as the Deforestation Regulation, the Corporate Sustainability Due Diligence Directive, and the Forced Labour Regulation require firms to transmit sustainability obligations through contractual networks extending beyond the EU. This article argues that these measures rest on an implicit assumption that contractual governance is functionally uniform across supply chains. Drawing on contract theory, global value chain governance, and food law, it demonstrates that contractual relationships differ fundamentally according to their governance structures and therefore vary in their capacity to implement sustainability obligations. The article develops a legal typology distinguishing relational, modular, and captive contractual governance and argues that each requires a distinct regulatory approach. Relational supply chains are supported through behaviourally informed regulation, modular supply chains through oversight of private standards, and consumer information, and captive supply chains through competition law, unfair trading practices legislation, and mandatory contractual protections. The article further situates this model within the concept of sustainable commoditisation, demonstrating how contractual governance can reconcile sustainability objectives with competitiveness. It concludes that EU sustainability legislation should organise regulatory interventions around the contractual governance structures through which public objectives are implemented.
