Anfang 2017 wird finale Fassung des European Model Company Act (EMCA) veröffentlicht. Dieses von einer Expertengruppe ausgearbeitete Modellkapitalgesellschaftsgesetz soll als Vorbild für die nationale Gesetzgebung der Mitgliedstaaten dienen. Der folgende Beitrag gibt zunächst einen allgemeinen Überblick über Grundkonzept, Aufbau und wesentliche Inhalte des EMCA. Anschließend werden ausgewählte Regelungsbereiche einer kritischen Würdigung unterzogen.
