Das Bundeskabinett hat am 20.3.2019 den Regierungsentwurf des Gesetzes zur Umsetzung der zweiten Aktionärsrechterichtlinie (ARUG II) beschlossen. Der Beitrag gibt einen Überblick über die wichtigsten Änderungen betreffend Geschäfte mit nahestehenden Personen (Related Party Transactions) gegenüber dem Referentenentwurf.

On 20 March 2019, the German cabinet has adopted the official government draft law for the implementation of the Shareholder Rights Directive II (SRD II) (Regierungsentwurf des Gesetzes zur Umsetzung der zweiten Aktionärsrechterichtlinie - "ARUG II"). The article provides an overview of the most important changes concerning related party transactions compared to the ministerial draft.
