In seinem Urteil in der Rs. I.G.I. hat der EuGH Grundsatzfragen zum Anwendungsbereich der unionsrechtlichen Vorschriften für nationale Spaltungen sowie zum Verhältnis von Spaltung und actio pauliana geklärt. Der Beitrag analysiert die Entscheidung, ihre weiterreichende Bedeutung sowie Folgefragen (Gläubigeranfechtung nach dem AnfG, andere Umwandlungsarten, Insolvenzanfechtung).
Abstract in another language
In its judgment in the I.G.I. case, the CJEU has resolved fundamental questions regarding the scope of application of the EU framework for national divisions as well as the relationship between division and actio pauliana. The article analyses the decision, its wider significance and follow-up questions (avoidance actions under the German AnfG, other types of company transformation operations, avoidance actions in case of insolvency).
